SinFin Terms of Use

About SinFin

SinFin provides digital infrastructure that connects participants across the sports ecosystem, including fans, athletes, clubs, academies, teams, competitions, federations, governing bodies, events, partners and other sports organizations.

Depending on the service being used, SinFin may provide digital identity, organization profiles, sports information, content, engagement features, commercial tools, programmes, memberships, ecommerce functionality, professional services and integrations with third-party providers.

References to "SinFin", "we", "us" or "our" mean the SinFin entity responsible for the relevant Platform service or identified in the applicable order, invoice, commercial agreement or legal notice.

Your SinFin Account

You may need a personal SinFin account to use certain Platform features.

You are responsible for:

• —providing accurate information
• —keeping your login credentials secure
• —maintaining access to your account
• —promptly notifying SinFin if you believe your account has been compromised
• —activity performed through your account where reasonably attributable to your access.

Your personal SinFin identity is separate from any authority you may hold for an organization.

Being granted access to manage an organization does not transfer ownership of your personal account to that organization.

Similarly, removing your organization access does not normally remove your personal SinFin account.

Eligibility and Young Users

You must be legally permitted to use the Platform under the laws applicable to you.

Where a user is below the age at which they may independently consent to the relevant processing or enter into a binding agreement, appropriate involvement or authorization from a parent, guardian or other legally authorized person may be required.

Certain commercial, administrative or contractual features may be restricted to adult users or authorized organization representatives.

Organizations using SinFin in connection with children or young athletes are responsible for obtaining any permissions, parental consents or other lawful authorizations required for their activities.

Organizations on SinFin

SinFin may contain profiles for clubs, academies, teams, federations, competitions, events and other sports organizations.

An organization profile may be:

• —managed by an authorized organization representative
• —awaiting a claim
• —unclaimed
• —created or populated by SinFin using appropriate information sources.

The existence of an organization profile on SinFin does not, by itself, mean that the organization has endorsed SinFin, entered into a commercial relationship with SinFin or officially manages that profile.

SinFin may display a neutral public presence for an unclaimed organization.

Claiming an Organization

A person claiming an organization must have a legitimate relationship with, or authority from, that organization.

SinFin may request reasonable information or evidence to assess a claim.

Approval of a claim grants the approved management access represented by the Platform.

It does not automatically:

• —establish legal ownership of the organization
• —grant commercial authority
• —confirm every sporting affiliation
• —create a contractual commercial relationship with SinFin
• —grant rights to third-party trademarks, photographs or other intellectual property.

SinFin may suspend, reject or revisit a claim where there is a dispute, misrepresentation, security concern or reasonable doubt about authority.

Organization Roles and Authority

Different forms of authority may exist independently on SinFin.

These may include:

• —management authority
• —editorial authority
• —commercial authority
• —scoped delegated access.

Access to one type of authority does not automatically provide another.

Organizations are responsible for managing their authorized users and removing access when staff, contractors or representatives no longer require it.

Sports Information and Relationships

SinFin may allow organizations and users to create or display information about sports, teams, athletes, fixtures, affiliations, memberships and related relationships.

Users providing this information must take reasonable steps to ensure it is accurate and that they have the right or authority to provide it.

SinFin may correct, restrict or remove information where reasonably necessary, including where information is inaccurate, unlawful, disputed or infringes the rights of another person.

User and Organization Content

You may be able to submit, upload, publish or otherwise provide content through SinFin, including text, images, logos, photographs, videos, product information, organization information and other materials ("Content").

You retain any rights you lawfully hold in your Content.

By providing Content to SinFin, you grant SinFin a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, display, adapt for technical presentation and distribute that Content as reasonably necessary to operate and provide the Platform.

This licence does not transfer ownership of your Content to SinFin.

You represent that you have the necessary rights and permissions to provide the Content and to allow SinFin to use it for these purposes.

Prohibited Content and Conduct

You must not use SinFin to:

• —break applicable law
• —impersonate another person or organization
• —falsely claim authority over an organization
• —infringe intellectual property or privacy rights
• —upload malicious software
• —interfere with Platform security
• —attempt unauthorized access
• —scrape or systematically extract Platform data in violation of applicable rights or restrictions;
• —manipulate engagement, transactions, payments or competitions fraudulently
• —harass, threaten or abuse others
• —publish unlawful, defamatory or materially deceptive content
• —use SinFin for unauthorized commercial spam
• —circumvent access, payment, security or usage restrictions.

SinFin may restrict or remove content or access where reasonably necessary to protect users, organizations, the Platform or third parties.

Following, Engagement and Community Features

SinFin may allow users to follow organizations, participate in polls, quizzes, predictions, missions, programmes and other engagement experiences.

Unless expressly stated otherwise, these features are for engagement and entertainment purposes.

SinFin XP, organization XP, points, status indicators or similar progression features are not money, stored value, securities or transferable financial assets unless SinFin expressly states otherwise.

Commerce

Certain organizations may offer goods, programmes, memberships or other products or services through SinFin.

Commercial functionality is subject to separate eligibility and readiness requirements.

An organization being claimed or managed on SinFin does not automatically mean that it is approved to sell through SinFin.

Organization sellers are also subject to the SinFin Organization Commerce Terms.

Payments

Where payments are enabled, payments may be processed by an approved third-party payment provider.

The payment methods available to you may depend on the seller, country, currency, provider and transaction.

SinFin does not require users to provide full card credentials directly to SinFin where those credentials are collected and processed by the approved payment provider.

Payment-provider terms and privacy notices may also apply.

Prices, Currencies and Taxes

Prices should be displayed in the applicable transaction currency before purchase.

SinFin does not automatically promise foreign-exchange conversion.

Your bank, card issuer or payment provider may apply exchange rates or fees.

Taxes, duties or other charges may apply depending on the transaction, jurisdiction and approved commercial configuration.

Any required tax treatment will be applied in accordance with the applicable commercial setup and law.

Refunds and Cancellations

Refunds and cancellations are subject to the SinFin Refund & Cancellation Policy, any product-specific terms, seller-specific terms and any mandatory rights available under applicable law.

SinFin Services

SinFin may separately provide professional or strategic services including Assessment, Blueprint, Advisory or other services.

Where a separate proposal, order, engagement letter or agreement applies, that document may contain additional or different commercial terms.

If there is a conflict between these Terms and a signed service agreement for a specific service, the signed agreement will govern that service to the extent of the conflict.

Partners and Third Parties

SinFin may introduce or connect users or organizations to third-party partners, service providers or other businesses.

Unless expressly agreed otherwise, those third parties remain responsible for their own products and services.

A listing, introduction or presence within the SinFin Partner Network does not automatically mean SinFin guarantees that provider's performance.

Third-Party Services

The Platform may integrate or link to third-party services.

Those services may have their own terms and privacy practices.

SinFin is not responsible for a third party's systems, availability or conduct except to the extent required by applicable law or expressly agreed in writing.

Intellectual Property

The SinFin Platform, software, interfaces, branding, trademarks, designs and original materials are owned by or licensed to SinFin.

Except as permitted by these Terms or applicable law, you may not copy, reproduce, sell, reverse engineer, redistribute or commercially exploit SinFin technology or proprietary materials without authorization.

Organization and third-party names, logos, trademarks and content remain the property of their respective owners.

Feedback

If you voluntarily provide product feedback or suggestions, SinFin may use that feedback to improve its services without obligation to compensate you, provided that doing so does not transfer ownership of your unrelated confidential information to SinFin.

Availability and Changes

SinFin may develop, update, improve or discontinue Platform functionality.

We aim to operate a reliable service but cannot guarantee uninterrupted or error-free availability.

We may temporarily restrict features for maintenance, security, legal, commercial or operational reasons.

Suspension and Termination

SinFin may restrict or suspend access where reasonably necessary because of:

• —security risk
• —fraud
• —unlawful conduct
• —material breach of these Terms
• —organization authority dispute
• —payment or commercial risk
• —abuse of the Platform
• —legal or regulatory requirement.

Where appropriate, SinFin may provide an opportunity to resolve the issue.

Suspension of an organization does not necessarily delete its canonical historical or financial records.

Account Closure

You may request closure of your personal account through the available account or support process.

Some information may need to be retained or anonymized where reasonably necessary for legal, financial, security, fraud-prevention or historical-record purposes.

Closing a personal account does not automatically delete an organization the person previously managed.

Disclaimers

The Platform is provided on an "as available" basis.

To the extent permitted by law, SinFin does not guarantee that:

• —all public sports information will always be complete or error-free
• —every organization profile is officially managed
• —every third-party provider will perform without interruption
• —Platform availability will be uninterrupted.

Nothing in these Terms excludes obligations or rights that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, SinFin will not be liable for indirect, incidental, special or consequential losses arising from use of the Platform where such liability can legally be excluded.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability arising from fraud or other liability that applicable law requires to remain unrestricted.

Where a separate commercial agreement applies, the liability provisions in that agreement may govern the relevant service.

Your Responsibility

You are responsible for losses or claims arising from your unlawful use of the Platform, your breach of these Terms, or Content you provide without the necessary rights, to the extent permitted by applicable law.

Changes to These Terms

SinFin may update these Terms when the Platform, law or our business changes.

Where a change is material, we may provide reasonable notice through the Platform or another appropriate communication channel.

The current effective date will be displayed at the top of this page.

Governing Terms and Applicable Law

Applicable law and jurisdiction may depend on the SinFin entity, service, customer location and any separate agreement governing the relevant relationship.

Where a separate written commercial agreement identifies governing law or jurisdiction, that agreement applies to the relevant relationship.

Final general Platform governing-law language may be updated following legal review.
