SinFin Organization Commerce Terms
The terms that apply to organizations approved to sell programmes, memberships or products through SinFin.
These Organization Commerce Terms ("Commerce Terms") apply to organizations approved to offer goods, memberships, programmes or other products or services through SinFin ("Seller").
These Commerce Terms supplement the SinFin Terms of Use.
Eligibility
Access to SinFin does not automatically provide the right to sell.
Before commercial functionality is activated, SinFin may require appropriate confirmation of:
- management authority
- commercial authority
- seller information
- organization country
- transaction currency
- commercial terms
- payment-provider readiness
- applicable tax or legal configuration.
SinFin may approve, refuse, suspend or restrict commercial access where reasonably required.
Seller Responsibility
The Seller is responsible for the goods and services it lists unless a separate written agreement expressly states otherwise.
The Seller is responsible for ensuring that its offers are:
- accurate
- lawful
- not misleading
- appropriately priced
- available as represented
- supported by any licenses or permissions required
- fulfilled in accordance with the offer and applicable law.
Products and Services
Depending on enabled Platform functionality, Sellers may offer items including:
- physical merchandise
- programmes
- memberships
- other approved organization products or services.
SinFin may restrict categories that create legal, regulatory, safety or operational risk.
Seller Information
Sellers must keep relevant commercial information accurate, including where applicable:
- legal or organization identity
- contact details
- country
- default transaction currency
- fulfilment information
- refund or cancellation information
- tax information required by approved configuration.
Prices
The Seller is responsible for the prices it publishes unless a separate commercial arrangement states otherwise.
Prices must be displayed in the applicable SinFin transaction currency.
SinFin does not automatically provide currency conversion.
Payment Processing
When enabled, transactions may be processed through an approved payment provider.
SinFin operates the Platform's commerce workflow and associated records.
The exact payment, invoicing, tax, settlement and contractual structure may depend on:
- the Seller
- jurisdiction
- approved SinFin commercial configuration
- payment provider
- transaction type.
Nothing in these Commerce Terms should be interpreted as assigning a universal merchant-of-record, tax or invoice-issuer status where that status has not been expressly configured or legally approved.
Platform Fees
SinFin may charge a platform, transaction or service fee.
Any applicable production fee must be:
- commercially approved
- configured within SinFin
- applicable to the relevant transaction or Seller
- communicated through the relevant commercial arrangement or Platform configuration.
No development or test fee automatically becomes a production fee.
Where no production fee is approved or configured, no generic percentage should be assumed.
Taxes
Each Seller is responsible for meeting its applicable tax obligations except to the extent a different responsibility is expressly established through the approved commercial configuration or applicable law.
SinFin may collect or provide information reasonably required to support lawful tax and invoicing processes.
SinFin does not provide tax advice to Sellers.
Orders
A Seller must make reasonable efforts to honour valid orders accepted through the Platform.
The Seller must not manipulate:
- order status
- payment status
- inventory
- refund status
- transaction currency
- financial history.
Inventory
For physical products, Sellers are responsible for maintaining reasonably accurate inventory.
A product should not knowingly be offered as available when the Seller cannot reasonably fulfil it.
Fulfilment
The Seller is responsible for fulfilling the delivery or collection method offered to the buyer unless SinFin has separately agreed to fulfil the order.
The Seller should provide accurate fulfilment information and reasonable customer support.
Refunds and Cancellations
The Seller must comply with:
- the SinFin Refund & Cancellation Policy
- any product-specific policy shown to the buyer
- mandatory consumer rights under applicable law.
The Seller must not use a policy to remove rights that applicable law requires.
Refunds and Seller Payable
A refund may affect:
- gross sales
- applicable fees
- seller payable
- settlement
- commercial documents
- inventory where an explicit restock occurs.
A refunded physical item is not automatically returned to inventory unless the appropriate restock action is performed.
Settlements
Where SinFin records or facilitates settlement to a Seller, the Seller's payable amount may reflect:
- gross transaction amount
- approved platform fees
- refunds
- adjustments
- other approved commercial amounts.
Settlement is recorded per applicable currency.
Different currencies are not automatically aggregated or converted.
Settlement Evidence
SinFin may require appropriate evidence before a manual or external settlement is recorded as completed.
Neither the Seller nor an unauthorized Platform user may mark a payment or settlement complete without the required authority and evidence.
Chargebacks and Payment Disputes
Where a payment provider supports chargebacks or payment disputes, the Seller may be required to provide reasonable evidence relating to the transaction.
Financial records may be adjusted according to the confirmed outcome.
Prohibited Sales
A Seller must not use SinFin to sell goods or services that:
- are unlawful
- infringe third-party rights
- are fraudulent or misleading
- create unacceptable safety risk
- violate applicable payment-provider rules
- are prohibited by SinFin policy.
Customer Information
Seller access to customer information is limited to information reasonably required to operate the relevant relationship.
Sellers must not:
- misuse customer data
- sell customer personal information
- use information for unlawful spam
- disclose information without appropriate authority.
Sellers are responsible for their own privacy obligations when acting as an independent controller of customer information.
Commercial Suspension
SinFin may suspend commercial functionality where reasonably necessary because of:
- security risk
- fraud
- legal concerns
- customer harm
- seller authority dispute
- unpaid or unresolved commercial obligations
- inaccurate seller information
- payment-provider restrictions
- material breach of these Commerce Terms.
Suspension does not erase historical orders, payments, refunds or settlements.
Records and Audit
SinFin may retain transaction, authority and audit records required for operation, reconciliation, security, disputes and legal compliance.
Established financial history should be corrected using appropriate refunds, adjustments or other recorded transitions rather than silent rewriting.
Separate Agreements
A separate written commercial, Advisory, service or partnership agreement may apply to a Seller.
Where such an agreement conflicts with these Commerce Terms, the signed agreement will govern the relevant commercial relationship to the extent of the conflict.
Changes
SinFin may update these Commerce Terms as the Platform or applicable requirements change.
Material changes may require renewed acceptance where appropriate.
