SinFin Partner Network Terms

Purpose of the Partner Network

The SinFin Partner Network connects sports organizations with relevant specialist providers across areas such as technology, data, media, commercial services, facilities, retail, events, education and other sports capabilities.

Application and Listing

Applying to join the Partner Network does not guarantee acceptance.

SinFin may review:

• —business information
• —capabilities
• —experience
• —suitability
• —reputation
• —conflicts
• —other information reasonably relevant to the Network.

SinFin may approve, reject, suspend or remove a Partner Network listing where appropriate.

Directory Presence Is Not a Commercial Agreement

Being listed or shown as a Partner does not, by itself:

• —create exclusivity
• —create a commission entitlement
• —guarantee referrals
• —guarantee business volume
• —establish a joint venture
• —create an agency relationship
• —authorize either party to bind the other.

Commercial rights arise only where separately agreed.

Referrals and Introductions

SinFin may introduce a Partner to an organization or opportunity.

Where commercial attribution is relevant, SinFin may create a referral or introduction record.

Partners should not knowingly circumvent an applicable written referral or commercial arrangement.

Any binding non-circumvention obligation must arise from the relevant written agreement.

Commission

A Partner commission, referral fee or other commercial entitlement applies only where supported by an applicable written agreement, commercial rule or other approved arrangement.

There is no universal Partner Network commission percentage unless SinFin expressly configures and agrees one.

Historical Commercial Terms

Where a qualifying transaction creates an established commission or referral record, later changes to future commercial terms should not silently rewrite that established historical record.

Corrections should be recorded through appropriate adjustments.

Off-Platform Transactions

A qualifying transaction may occur outside the SinFin payment system.

Where a Partner relationship requires commission or attribution for such a transaction, reasonable transaction evidence may be required before the amount is treated as confirmed.

Partner Responsibility

Partners remain responsible for:

• —their own services
• —professional advice
• —regulatory obligations
• —employees and contractors
• —taxes
• —insurance where required
• —contracts entered into with customers
• —service quality.

Unless expressly agreed otherwise, SinFin does not become the provider of the Partner's underlying services merely by making an introduction.

Customer Relationships

Partners must use customer and organization information received through SinFin only for legitimate purposes connected to the relevant relationship.

Partners must not:

• —sell unrelated personal information
• —misuse confidential information
• —spam organizations
• —falsely claim endorsement or authority from SinFin.

Representation of the Relationship

Partners may accurately describe an approved relationship with SinFin.

They must not falsely state that they are:

• —owned by SinFin
• —an exclusive SinFin provider
• —authorized to bind SinFin
• —guaranteed by SinFin

unless this is expressly true under a written agreement.

Confidential Information

Where confidential commercial or operational information is exchanged, each party should protect that information and use it only for the legitimate relationship, subject to any more specific confidentiality agreement.

Conflicts and Integrity

Partners should disclose material conflicts that could reasonably affect an introduction or recommendation.

SinFin may restrict or terminate a Partner relationship where there is fraud, serious misconduct, misrepresentation or unacceptable reputational risk.

Suspension and Removal

SinFin may suspend or remove a Partner from the Network for reasons including:

• —breach of these Terms
• —expired or terminated agreement
• —serious customer complaint
• —fraud
• —legal or regulatory concerns
• —material misrepresentation
• —security risk.

Removal from the public directory does not erase valid historical referral, commission or settlement records.

Separate Partner Agreement

Many commercial Partner relationships will be governed by a separate signed agreement.

That agreement may define:

• —scope
• —territory
• —referrals
• —commission
• —payment timing
• —confidentiality
• —non-circumvention
• —intellectual property
• —liability
• —termination
• —governing law.

Where a signed Partner agreement conflicts with these Network Terms, the signed agreement governs the relevant commercial relationship to the extent of the conflict.

No Guarantee of Opportunity

SinFin does not guarantee that a Partner will receive:

• —referrals
• —projects
• —transactions
• —minimum revenue
• —minimum exposure.

Changes

SinFin may update these Partner Network Terms.

Where material contractual rights are affected, any signed Partner agreement remains subject to its own amendment requirements.
